1. Agreement to Terms

By visiting https://clientshield.store, downloading, purchasing, or installing the Client Shield & Workspace WordPress plugin, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are entering into this agreement on behalf of a company, web agency, or other legal entity, you represent that you possess the requisite authority to bind such entity.

2. Software Licensing & Scope of Use

Client Shield & Workspace is a commercial software package engineered for WordPress. When you acquire a license, you receive a non-exclusive, non-transferable, revocable license to install and execute the plugin in accordance with your chosen license tier:

A. Staging, Local & Development Environments

All paid licenses permit unlimited activations on local development and staging environments (e.g. *.local, localhost, *.staging.*, dev.*) without counting toward your active production domain quota.

B. Lifetime Deal (LTD) Terms

Purchases made under a Lifetime Deal grant perpetual software usage rights and continuous product updates for the lifetime of the product, with zero recurring annual renewal fees.

3. Agency Rights & Client Handoff Permissions

If you hold an Agency Unlimited License, you are explicitly authorized to:

• Install and activate Client Shield on websites designed, built, or maintained for your third-party paying clients.
• Enable Agency Stealth Mode to hide Client Shield from the WordPress plugin list for non-administrators.
• Enable Agency Whitelabeling to replace plugin branding with your agency name, logo, and support links.
• Incorporate the provided Client Handoff Template Pack into your agency client deliverables.

4. Payments, Billing & Merchant of Record

Payment processing, licensing, and VAT/invoicing are securely powered by Freemius Inc. acting as Merchant of Record for all Client Shield & Workspace orders.

Freemius, Inc. (Merchant of Record): Freemius provides customer service inquiries, automated VAT/tax invoicing, and handles PCI-DSS Level 1 certified payment processing. When you purchase, your transaction is subject to Freemius’s Terms of Service and Privacy Policy.

• Annual Subscriptions: Automatically renew each year unless cancelled prior to the renewal date. You can cancel auto-renewal at any time with one click from your Freemius Account portal.
• Taxes & Invoicing: Local sales tax and European VAT are calculated automatically at checkout based on your billing jurisdiction. Proper VAT invoices are issued via email.

6. Software Updates & Technical Support

A. Updates

Active license holders receive continuous feature updates, security patches, and compatibility releases through the native WordPress background update API. We guarantee timely compatibility updates for major WordPress core releases (tested through WP 6.7+).

B. Support Scope

Technical support is provided via email (support@clientshield.store) and our native in-dashboard support drawer. Support covers installation, plugin configuration, bug resolutions, and core feature functionality.

Support does not cover custom third-party PHP development, resolution of severe hosting server outages, or conflicts caused by unmaintained abandonware themes.

7. Intellectual Property & Open Source Compliance

The PHP code of Client Shield & Workspace is released in full alignment with the GNU General Public License (GPLv2 or later). All proprietary design assets, logos, brand trademarks, documentation, and JavaScript front-end dashboard interfaces remain the exclusive intellectual property of Client Shield & Workspace.

8. Disclaimer of Warranties

The software is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

While Client Shield is engineered with extreme diligence to protect against accidental client misconfiguration, we do not warrant that your website will be entirely immune to all forms of third-party server tampering or catastrophic database failures outside the scope of WordPress admin role capabilities.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Client Shield & Workspace, its founders, contractors, or licensing partners be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, business interruption, or client goodwill) arising out of the use or inability to use this software.

Our total aggregate liability for any claims under these terms shall not exceed the amount actually paid by you for the software license during the twelve (12) months preceding the claim.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the applicable legal jurisdiction of the software publisher, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts having jurisdiction.
